Marvell Technology has agreed to acquire optical technology company Lumentum in an all-stock transaction valued at approximately $115 billion, marking one of the largest acquisitions in the technology industry.

Announced on November 2, the deal brings together two companies whose technologies are increasingly important to the expansion of artificial intelligence infrastructure. Marvell – Official acquisition announcement

Under the agreement, Lumentum shareholders will receive 4.5 shares of Marvell common stock for every Lumentum share they own. The transaction values Lumentum at approximately $1,132 per share, representing a 23.9% premium to its unaffected closing price on October 28, 2026.

Following completion, existing Marvell shareholders are expected to own approximately 67% of the combined company, while Lumentum shareholders will hold the remaining 33%.

Why Marvell Wants Lumentum

The acquisition is largely driven by the growing demand for faster and more efficient data transmission as AI infrastructure expands.

Modern AI data centres require thousands of processors to communicate and exchange enormous volumes of information. Traditional copper-based connections are increasingly facing limitations in meeting these bandwidth and performance requirements.

This is where optical technology becomes important.

Lumentum specialises in high-performance lasers, optical transceivers and optical circuit switching technologies that use light to transmit data. These capabilities complement Marvell’s expertise in semiconductors, networking, custom AI chips and optical connectivity.

By combining the two businesses, Marvell aims to develop more integrated connectivity solutions capable of supporting increasingly complex AI systems, from connections between data centres to links within advanced semiconductor packages.

A Bigger Bet on the AI Infrastructure Market

Marvell expects the acquisition to strengthen its position in the rapidly expanding AI infrastructure industry.

The combined business is projected to address a total potential market of approximately $550 billion. The companies also expect the transaction to generate more than $1 billion in annual cost synergies once fully integrated.

Marvell’s CEO, Matt Murphy, will continue to lead the combined company as chairman and chief executive officer following completion of the deal.

The companies also anticipate that the acquisition will improve long-term revenue growth and profitability, with the transaction expected to be accretive to Marvell’s non-GAAP earnings per share in its first year after closing.

When Will the Acquisition Be Completed?

The transaction is expected to close in the first half of 2028, subject to shareholder approval, regulatory clearances and other customary closing conditions.

However, the announcement has already attracted investor attention. Marvell shares fell by more than 10% following the announcement, while Lumentum shares also declined, reflecting concerns about the transaction’s valuation and the financial risks associated with such a large acquisition.

What This Means for the Future of AI

The deal highlights an important shift in the technology industry: the AI race is no longer just about building more powerful processors.

As AI models become larger and data centres expand, the ability to move information quickly and efficiently between computing systems is becoming equally important.

Marvell’s proposed acquisition of Lumentum reflects the growing strategic importance of optical connectivity in that transition. If successfully completed, the combination could strengthen its position in the infrastructure powering the next generation of artificial intelligence.

For the broader technology industry, it is another indication that the companies supplying the underlying hardware, networking and connectivity technologies are becoming central players in the AI economy.
